Welcome to GeoPilots. These Terms of Service ("Terms") govern your access to and use of the GeoPilots website (chartomata.com) and the GeoPilots platform (collectively, the "Services"), provided by GeoPilots LLC ("GeoPilots," "we," "us," or "our"), a limited liability company organized under the laws of the State of Georgia.
By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. If you are accessing the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. The Services
GeoPilots provides an AI-native geospatial software platform that enables AI agents and human operators to perform spatial analysis, mapping, and risk assessment for enterprise customers. Specific features and capabilities are described on our website and in any applicable order form or service agreement.
3. Accounts
To access certain features of the Services, you may need to create an account or enter into a separate service agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4. Payment Terms
Pricing for commercial use of the GeoPilots platform is set forth in an order form or service agreement between you and GeoPilots. Unless otherwise specified:
- Fees are payable in U.S. dollars
- Subscriptions renew automatically at the end of each billing period unless cancelled
- Payments are non-refundable except as described in Section 5
- We may change pricing with reasonable advance notice
- Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law
5. Cancellation and Refunds
You may cancel a subscription at any time by written notice to [email protected]. Cancellations take effect at the end of the current billing period; you retain access until then.
We offer a 14-day refund window for new annual subscriptions. After the 14-day window, fees paid are non-refundable. Refunds for monthly subscriptions are not offered. Custom development engagements are non-refundable once work has begun.

6. Acceptable Use
You may not:
- Use the Services for any unlawful purpose or in violation of these Terms
- Reverse engineer, decompile, or attempt to derive source code from our software except as permitted by law
- Resell, sublicense, or transfer access to the Services without our written consent
- Use the Services to develop a competing product
- Probe, scan, or test the vulnerability of our infrastructure without authorization
- Interfere with or disrupt the Services or the experience of other users
- Upload or transmit malicious code, viruses, or harmful content
7. Intellectual Property
The Services, including all software, content, designs, trademarks, and logos, are owned by GeoPilots or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
Any feedback or suggestions you provide may be used by GeoPilots without obligation to you.
8. Customer Data
You retain ownership of data you submit to the Services ("Customer Data"). You grant GeoPilots a limited license to process Customer Data solely to provide the Services. Our handling of Customer Data is further governed by our Privacy Policy.
9. Confidentiality
Each party may receive confidential information of the other. Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information of similar importance, and not less than a reasonable degree of care.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, GEOPILOTS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GeoPilots does not warrant that the Services will be uninterrupted, error-free, or completely secure.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GEOPILOTS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO GEOPILOTS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
GEOPILOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
12. Indemnification
You agree to indemnify and hold harmless GeoPilots and its affiliates, officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
13. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ends immediately.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in DeKalb County, Georgia.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the website. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Miscellaneous
These Terms constitute the entire agreement between you and GeoPilots regarding the Services and supersede all prior agreements. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver of that provision.
